Mobility Holdings, Limited User Agreement

Please read the following document carefully. By registering and accepting the Terms and Conditions, you are agreeing to be bound by the Mobility Holdings, Limited User Agreement ("Agreement").

TERMS AND CONDITIONS FOR USE, REPRODUCTION, AND DISTRIBUTION

A. DEFINITIONS

  • Owner and Copyright Holder means Mobility Holdings, Limited.
  • Organization means Mobility Holdings, Limited.
  • License Template and Copyright Notice means Copyright © 2018, Mobility Holdings, Limited.
  • Plans means the GSD Rack Dimensions document.
  • Contribution means any suggestion or information provided that is or may lead to an improvement, change or adjustment to the plans.
  • Contributor means an Owner and any individual or Legal Entity on behalf of whom a Contribution has been received by Owner and subsequently incorporated within the Work.

B. AGREEMENT

Redistribution and use of the Plans, with or without modification, are permitted provided that the following conditions are met:

  • COPYRIGHT. Redistributions of the Plans must retain the above copyright notice, this list of conditions and the following disclaimer.
  • REDISTRIBUTION OF PLANS. Redistributions of the Plans as a computer file or reproduction must reproduce the above copyright notice, this list of conditions and the following disclaimer in the documentation and/or other materials provided with the distribution.
    UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING, THESE PLANS ARE PROVIDED BY THE COPYRIGHT HOLDERS AND CONTRIBUTORS “AS IS” AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED.   • ENDORSEMENT. Neither the name of the copyright holder nor the names of its contributors may be used to endorse or promote products derived from this plan without specific prior written permission.
  • ADVERTISING. All advertising materials related to any product based on the Plans must display the following acknowledgment: “This product is based on plans developed by Mobility Holdings, Limited and its contributors.”
  • GRANT OF COPYRIGHT LICENSE. Subject to the terms and conditions of this License, each Contributor hereby grants to user a perpetual, worldwide, non-exclusive, no-charge, royalty-free irrevocable copyright license to reproduce, prepare Derivative Works of, publicly display, sell and/or distribute works and such derivative works.
  • TRADEMARKS. This License does not grant permission to use the trade names, trademarks, service marks, or product names of the Owner, except as required for reasonable and customary use in describing the origin of the Plans. Any use shall be approved prior to use by the Owner in writing.
  • EXCLUSION. Use of this work may not be applied to bicycles. Use of this work may only be applied to bicycle accessories.
  • ACCEPTING WARRANTY OR ADDITIONAL LIABILITY. While distributing Works or Derivative Works based on the Plans thereof, user may choose to offer, and charge a fee for, acceptance of support, warranty, indemnity, or other liability obligations and/or rights consistent with this License. However, in accepting such obligations, user may act only on users’ own behalf and on users’ sole responsibility, not on behalf of any other Contributor, and only if user agrees to indemnify, defend, and hold each Contributor harmless for any liability incurred by, or claims asserted against, such Contributor by reason of user accepting any such warranty or additional liability.
  • MODIFICATIONS. Owner warrants that the drawings are accurate at the time of publication. Owner is not responsible for modifications or changes to the underlying bicycle Frame dimensions of which these drawings (Plans) are based thus rendering Plans un-useable or incomplete.
  • SUBMISSION OF CONTRIBUTIONS. Unless user explicitly states otherwise, any Contribution submitted to the Owner shall be treated as an intentional submission for inclusion in the Plans and shall be governed under the terms and conditions of this License, without any additional terms or conditions. Notwithstanding the above, nothing herein shall supersede or modify the terms of any separate license agreement user may have executed with Owner regarding such Contributions.
  • TRANSFER OF RIGHTS. User acknowledges and agrees that this agreement and use thereof does not confer any acquisition of any rights or interests in any of the copyrighted material. Any redistribution of rights to third party for use of the plans shall only be accepted through a separate license between the third party and Owner.
  • NON-DISCLOSURE. User acknowledges and agrees that this agreement is considered Confidential Information and so shall not disclose the details of this agreement to any Third Parties. Should third party disclosure be necessary, user shall provide Owner timely notice thereof.
